There is EXCEPTED AND RESERVED, nevertheless, from the operation of this conveyance, all of the coal, oil, gas and minerals, in, under and upon said piece or parcel of surface hereby conveyed, together with all the usual, necessary or convenient mining rights and privileges; and also further expressly reserves and excepts the right to pass in, under, through, on and over said piece or parcel of surface hereby conveyed for the purpose of mining, hauling and removing any other coal, oil, timber, gas or minerals it now owns on this tract or on any other lands, or which it or its lessees or vendees may hereafter acquire, in, on or under any other lands; and also further reserves the right to remove all subjacent and lateral supports to said piece or parcel of surface hereby conveyed, by any method of mining, including, without limitation thereof, longwall mining and any method of mining hereinafter utilized, whether now known or unknown, utilized or not utilized at the time of the making of this deed, and the said Party of the Second Part, his heirs, assigns, vendees or lessees shall not have any claim for compensation or damages against the said Penn Virginia Resources Corporation, its successors, assigns, contractors, vendees or lessees, on account of the removal of all or any part of the subjacent or lateral supports to said piece or parcel of surface hereby conveyed, or for destroying or diverting water flow by reason of the mining and removal of same.

This sale is subject to all restrictions, rights-of-way, conditions, easements, and mechanics’ and materialmen’s liens, if any, whether of record or not of record, to the extent any of the foregoing apply and take priority over the lien of the Deed of Trust.

Deposit of 10% of the purchase price, by cash or certified check shall be required of the highest bidder, except from the Noteholder. Deposit, without interest, is applied to the purchase price at settlement. Settlement will be held on or before 15 days after sale, but may be extended in the discretion of the Trustee. Upon purchaser’s default, the deposit shall be forfeited and the property shall be resold at the risk and costs of the defaulting purchaser. In the event the Trustee cannot convey to the purchaser marketable title, in the Trustee’s sole discretion, the sale may be rescinded and the purchaser’s sole remedy shall be the refund of the deposit.

The balance of the purchase price shall be in cash or its equivalent. Settlement shall be at the office of the trustee or other mutually agreed location. The property and any improvements thereon shall be sold in “as is” condition without any warranties. The successful bidder shall assume all loss or damage to the property from and after the time of the sale. Purchaser shall be responsible for all costs of the conveyance, which shall be by special warranty, including but not limited to the preparation of the deed and the grantor’s tax. The sale is subject to such additional terms as the Trustee may announce at the time of sale. The purchaser will be required to sign a memorandum of sale incorporating all the terms of the sale.

Red River Coal Company, Inc., P.O. Box 668, Norton, Virginia 24273 is applying to the Virginia Division of Mined Land Reclamation for renewal of CSMO Permit Number 1100033/NPDES Permit Number 0080033 in order to continue the operations at the following location:

Approximately nine miles north of Norton in Wise County, near the headwaters of Guest River. The permit area can be reached by turning west off Rt. 620 approximately 1.2 miles north of the intersection of Rt. 620 and 701. The permit area covers 1,254.37 acres on the eastern slope of Indian Mountain between Fox Gap and Powell River.

The permit area is located on the Flat Gap, VA-KY USGS quadrangle map.

The proposed operation will come within 100 feet of State Routes 626 and 825.

Drainage and wastewater resulting from the permitted operation will pass through approved sediment control structures and be discharged to Guest River, Critical Fork, Powell River, Phillips Creek, and South Fork Pound River.

A copy of the application materials is available for public inspection and comment at the Wise County Circuit Court Clerk’s Office. A copy of the draft NPDES permit and fact sheet are available for public inspection and comment at the Division’s Big Stone Gap office.
